Version 1.0 · Effective October 28, 2026
These Terms of Use ("Terms") are an agreement between you and Codara Inc. ("Codara"). They govern your access to and use of the Codara website, software applications, calculators, analysis tools, reports, project-management features and related services (collectively, the "Services").
By creating an account, purchasing a subscription, or otherwise accessing or using the Services, you agree to be bound by these Terms and the applicable Professional Responsibility & Disclaimer.
If you use the Services on behalf of a company, architectural practice, design firm or other organization, you represent that you have authority to accept these Terms on its behalf. In that case, "you" and "your" refer to both you and the organization, as applicable.
If you do not agree with these Terms, you must not use the Services.
Our Privacy Policy explains how personal information is handled in connection with the Services.
Codara provides software tools intended to assist with Ontario Building Code calculations, building classification, code analysis, project organization, professional documentation and related building-design workflows.
Codara is a calculation-assistance and workflow platform. It is not a professional architectural or engineering practice, an authority having jurisdiction, or a government-approved code-compliance certification service.
The Services are intended primarily for architects, designers, building-code consultants, technologists and other building professionals.
The Services may be used by other individuals for informational purposes, but such use does not replace the need to obtain qualified professional advice where required.
You must be at least 18 years old, or have reached the age of majority in your jurisdiction if higher, to register for a paid account or enter into a subscription agreement.
The availability of particular calculators, integrations, report formats, collaboration tools and subscription features depends on the applicable plan and the functionality made available at the time of use.
Codara provides calculation, Code analysis and workflow assistance only. Codara does not provide architectural, engineering, legal or other regulated professional advice or services, and does not assume the responsibilities of an architect, engineer, designer or other regulated professional.
Calculations, code references, determinations, matrices, reports and other outputs are informational aids and do not constitute professional certification, regulatory approval or a determination that a project complies with all applicable laws. Codara does not review, approve, sign, seal or authenticate any design, drawing, specification, permit application or other professional document.
Use of Codara does not create an architect-client, engineer-client, designer-client or other professional advisory relationship between you and Codara.
You acknowledge that professional decisions require independent evaluation of the relevant project facts, applicable legislation, technical standards and professional obligations.
Codara's Professional Responsibility & Disclaimer forms an integral part of these Terms.
You are responsible for the information you enter, import, select, confirm or otherwise provide to Codara.
This includes, without limitation:
Codara may generate results based on these inputs without independently verifying their correctness or completeness.
You acknowledge that incorrect, incomplete, inconsistent, outdated or unsuitable information may produce inaccurate or misleading results even where the software performs its programmed calculations correctly.
You are responsible for reviewing the assumptions, calculation methods, limitations, warnings and Code references associated with each result.
Independent verification is required before reliance. Before you rely on any output, including by incorporating it into drawings, specifications, permit applications, reports, construction documentation or other professional deliverables, you must independently verify it against the applicable Code provisions, the facts of the project and your professional obligations. This requirement applies to every output, including an output that is incorrect because of a software error, outdated or incomplete information, an incorrect Code reference or an incomplete calculation.
Professionals remain responsible for their designs, drawings, specifications, permit submissions and the documents they sign, seal or stamp. Where a project requires a licensed architect, professional engineer, qualified designer or other authorized professional, the responsible individual retains their applicable professional and legal obligations.
The preparation of information by Codara does not transfer responsibility for the design, Code compliance or professional authentication of documents to Codara.
Codara may reference the Ontario Building Code, including O. Reg. 163/24, as amended, and related standards or regulatory materials.
The Services may incorporate different editions, amendment levels or datasets for different calculators and functions.
Codara does not guarantee that every feature reflects every amendment, supplementary standard, regulatory interpretation or requirement applicable to a particular project.
You are responsible for determining the appropriate Code edition and provisions applicable to your project, including transitional rules, local requirements, exceptions and project-specific conditions.
The official legislation and requirements of applicable authorities govern over any information presented by Codara.
An authority having jurisdiction is responsible for exercising its statutory powers concerning Code interpretation, review, enforcement and permit approval.
Codara is not affiliated with or endorsed by the Government of Ontario, any municipality, professional regulatory authority or other governmental body unless expressly stated otherwise.
Codara is developed to support accurate and useful calculations and professional workflows. However, the Services may contain errors, omissions, software defects, incorrect references, incomplete logic, outdated data or other limitations.
A result may be incorrect even where no error message, warning or other indication appears. The absence of a warning, notice or flagged issue does not mean that a result is correct, complete or Code-compliant.
Some Code requirements depend on professional interpretation, contextual information or conditions not evaluated by a particular calculator.
Codara is not required to identify every applicable Code provision or every potential conflict within a project.
You agree not to rely on automated outputs as a substitute for the independent professional verification required by Section 4.
If you discover an apparent defect or inaccurate result, you are encouraged to notify Codara at hello@codara.ca.
Codara may correct, modify or withdraw affected features or results where reasonably necessary.
Where account functionality is available, you must provide accurate registration information and maintain the confidentiality of your account credentials.
You are responsible for activities conducted through your account, except to the extent caused by Codara's own acts, omissions or failures for which liability cannot lawfully be excluded.
You must notify Codara promptly if you become aware of unauthorized access to your account.
You must not share individual account credentials in a manner that bypasses applicable licensing or subscription limits.
Codara may implement authentication, security verification and access-control measures to protect accounts and the Services.
You are responsible for maintaining appropriate copies of professional project information and documents outside Codara where required by your professional obligations.
This section applies only when paid subscription functionality is made available.
Codara may offer free and paid subscription plans with different features, usage limits and account entitlements.
Plan pricing, billing intervals, applicable features and payment conditions will be displayed before purchase.
Unless otherwise stated at checkout, prices are expressed in Canadian dollars and applicable taxes are additional.
Paid subscriptions may be billed monthly or annually, depending on the option selected.
Where a subscription automatically renews, the renewal frequency, applicable price and cancellation terms will be disclosed before purchase.
By purchasing a recurring subscription, you authorize the applicable payment processor to charge the approved payment method in accordance with the disclosed billing terms, subject to applicable law.
Codara may use third-party payment processors to administer subscription payments. Payment information will be handled in accordance with the applicable payment arrangements and Privacy Policy.
Codara may provide a free plan, limited trial, promotional access code or other introductory offer.
Eligibility, duration, available features and any conversion to a paid subscription will be disclosed in the applicable offer.
A free plan or trial does not create an entitlement to features beyond those made available under its stated conditions.
A trial will not automatically become a paid subscription unless the applicable conversion and payment conditions have been disclosed and validly accepted.
You may cancel renewal of a paid subscription through the cancellation mechanism provided by Codara or another clearly disclosed method.
Unless applicable law or the terms presented at purchase require otherwise, cancellation stops future renewals and access to paid features continues until the end of the already-paid billing period.
Cancellation does not automatically delete an account or its associated project records.
Any legally required cancellation, refund or other consumer rights remain unaffected.
Monthly and annual subscription fees are generally non-refundable once charged.
Cancellation prevents future renewals. Paid access continues until the end of the current paid billing period, as described in Section 8.2.
Codara may review exceptional refund requests individually.
Nothing in this section limits any cancellation or refund right that applicable law requires.
Codara may change subscription prices prospectively.
Changes affecting an existing paid subscription will be communicated in advance as required by applicable law and the applicable subscription terms.
Where affirmative consent is required, Codara will obtain it before applying the change.
As between you and Codara, you retain ownership of the original project information, drawings, descriptions, calculations, uploaded materials and other content that you provide to the Services ("User Content"), subject to any third-party rights.
Codara does not acquire ownership of your original project materials merely because they are entered into, stored in or processed by the Services.
You grant Codara a limited, non-exclusive right to host, store, process, reproduce and transmit User Content as reasonably necessary to provide, secure, maintain and support the Services, subject to the Privacy Policy and applicable law.
You represent that you have the necessary rights and permissions to provide User Content and authorize its processing for those purposes.
Codara will not treat your confidential project information as public merely because it is processed through the Services.
Codara may use authorized service providers for hosting, storage, authentication, payment processing and other necessary operations, subject to appropriate contractual and legal obligations.
Personal information will be handled as described in the Privacy Policy.
You should not enter information into the Services where doing so would violate contractual confidentiality obligations, privacy requirements, intellectual property rights or other applicable legal restrictions.
Where cloud project storage is offered, the available saving, retrieval, sharing and account-access functions will be governed by the functionality and plan conditions actually provided.
Codara does not guarantee that every calculation, draft or intermediate action is automatically saved.
Users are responsible for confirming that information has been saved successfully and for maintaining any professional records independently required for their projects.
Downgrading or cancelling a subscription may limit editing, collaboration, storage capacity or access to particular paid features, as disclosed in the applicable plan conditions.
Downgrading or cancelling a subscription does not automatically delete your projects. Existing projects are preserved and, where your plan no longer includes editing them, remain available to view on a read-only basis.
Account deletion, project deletion, retention periods and available export mechanisms are described in the Privacy Policy.
Codara may maintain backups and records for security, recovery, legal or operational purposes, subject to applicable law and its disclosed retention practices.
This section applies only when team or organization functionality is made available.
An organization account may allow an authorized administrator to manage users, seats, billing and access to organization projects.
The organization administrator is responsible for determining authorized membership and managing permissions within the functionality provided.
Ownership, control and continued access to organization-managed project content must be disclosed as part of the applicable team-plan arrangements.
Individual users may lose access to organization-controlled content when their membership or authorization ends.
Codara will provide only the collaboration, administrative and ownership controls expressly included in the applicable plan.
You agree not to:
Nothing in this section restricts lawful professional use of reports, calculation results or documents that your plan permits you to generate.
Codara and its licensors retain their respective rights in the software, interface designs, trademarks, proprietary content, algorithms, documentation, compilations and other intellectual property comprising the Services.
These Terms grant you a limited, non-exclusive, non-transferable right to access and use the Services in accordance with your applicable plan and these Terms.
You may use, reproduce, include and distribute your legitimately generated calculation results, Code analyses, reports and other permitted outputs in connection with your professional projects, subject to any applicable third-party rights and legal restrictions.
This permission does not transfer ownership of Codara's software, trademarks or underlying proprietary materials.
Nothing in these Terms purports to grant ownership of the Ontario Building Code or other third-party materials.
Codara may modify, improve, correct, suspend or discontinue features to maintain, secure or develop the Services.
Codara does not guarantee uninterrupted availability or that every feature will remain unchanged.
Where material changes adversely affect a paid service, Codara will provide such notice, remedies or other protections as required by applicable law and the applicable subscription terms.
Codara may temporarily restrict access where reasonably necessary to address security incidents, misuse, technical failures or legal requirements.
Codara may suspend or terminate access where you materially violate these Terms, engage in unlawful conduct, create a substantial security risk or misuse the Services.
Where reasonable and appropriate, Codara may provide notice and an opportunity to resolve a violation before termination.
You may stop using the Services or request account closure through available account-management or support channels.
The consequences of termination, including data access, retention, deletion and any payment rights, remain subject to applicable law and the disclosed product and subscription arrangements.
Provisions that by their nature should survive termination—including intellectual property, responsibility for prior use, lawful liability limitations and dispute resolution—will continue to apply.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CODARA PROVIDES THE SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY OR UNINTERRUPTED AVAILABILITY.
CODARA DOES NOT WARRANT THAT CALCULATIONS, CODE REFERENCES, REPORTS OR OTHER OUTPUTS ARE ERROR-FREE, CURRENT OR SUITABLE FOR ANY PARTICULAR DESIGN, PROFESSIONAL SUBMISSION OR PROJECT.
NOTHING IN THESE TERMS EXCLUDES OR RESTRICTS RIGHTS, WARRANTIES OR REMEDIES THAT CANNOT LAWFULLY BE EXCLUDED OR RESTRICTED.
To the maximum extent permitted by applicable law:
17.1 Unverified professional reliance. Codara and its owners, officers, employees and authorized service providers will not be liable for any loss, damage, claim or expense arising from reliance on an output that was not independently verified as required by Section 4. This includes reliance on an output that was incorrect because of a software error, outdated or incomplete information, an incorrect Code reference or an incomplete calculation, whether or not a warning appeared. It also includes losses arising from designs, drawings, specifications, permit submissions, construction activities, and signed or sealed documents prepared in reliance on such an output. This exclusion is the primary allocation of risk under these Terms.
17.2 Codara's own obligations. Section 17.1 concerns reliance on outputs without the verification these Terms require. It does not exclude liability for Codara's own breach of these Terms or of a legal obligation Codara owes independently of that reliance. Any such liability remains subject to applicable law and to Sections 17.3 and 17.4.
17.3 Excluded losses. Codara and its owners, officers, employees and authorized service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profit, revenue, business opportunities or anticipated savings, arising from or relating to the Services, regardless of the legal theory advanced, to the extent such exclusions are legally enforceable.
17.4 Mandatory exceptions. Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any other matter to the extent that such exclusion or limitation is prohibited by applicable law.
The limitations in this section are intended to allocate the risks associated with providing automated software tools, including tools used in professional workflows.
To the extent permitted by applicable law, you agree to indemnify Codara against third-party claims, damages and reasonable expenses arising from:
This obligation applies only to the extent that the relevant claim is attributable to your acts or omissions and does not require you to indemnify Codara for its own negligence, misconduct or independent legal responsibility.
Codara will provide reasonable notice of a claim for which it seeks indemnification and an appropriate opportunity to participate in its defence, subject to applicable law.
Codara's collection, use, disclosure, retention and protection of personal information are governed by its Privacy Policy and applicable privacy legislation.
The Privacy Policy is available on the Codara website.
You are responsible for ensuring that you have appropriate authority to enter personal information relating to others into the Services.
Codara may update these Terms to reflect legal, operational, security or service changes.
The updated Terms will identify their effective date.
Where required by applicable law, Codara will provide advance notice and obtain any necessary agreement before material changes become binding.
Changes will not retroactively eliminate accrued rights or remedies where doing so is prohibited by law.
Continued use will signify acceptance of updated Terms only where that method of acceptance is legally sufficient in the circumstances.
Subject to any mandatory legal protections applicable to the user, these Terms are governed by the laws of Ontario and the applicable federal laws of Canada.
The parties agree that courts located in Ontario will have jurisdiction over disputes arising from these Terms, except where applicable law requires otherwise.
Before commencing formal proceedings, the parties are encouraged to attempt to resolve disputes by providing written notice describing the concern and allowing a reasonable opportunity for a response.
Nothing in these Terms prevents a party from seeking urgent judicial relief or exercising non-waivable statutory rights.
Severability. If a provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
No waiver. A failure to enforce a provision does not constitute a waiver of the right to enforce it later.
Entire agreement. These Terms, together with any incorporated Professional Responsibility & Disclaimer and applicable subscription conditions, constitute the agreement governing use of the Services, except where a separate written agreement expressly applies.
Assignment. You may not transfer your account or contractual rights without Codara's prior consent, except where legally permitted. Codara may assign its rights and obligations in connection with a legitimate business reorganization or transfer, subject to applicable law.
Headings. Section headings are for convenience and do not alter the meaning of these Terms.
